Legal Assistant
The candidate will assist internal and external counsel as well as business team members to document and close commercial real estate mortgage loans and other real estate related transactions including loan workout and REO transactions, loan participations, purchases/sales of loan pools, and securitizations. Will manage deal closings to ensure loans are documented and funded within required timeframe and in compliance with Company standards. Consult with both internal and external counsel as necessary. Order and review third party reports, including title, survey, environmental, and property condition reports. Proofread, summarize and mark legal documents such as Notes, Loan Agreements, Mortgages/Deeds of Trust, foreclosure, bankruptcy, or litigation documents. Coordinate activities for distressed assets, including preparation of loss mitigation and pre-negotiation letters, closing Note and REO sales, documenting and closing loan modifications, and preparing other real estate related agreements, as needed. Post and manage loan documentation for loan sale platform. Draft legal documentation including, but not limited to, corporate resolutions, officer certificates, letter agreements, and UCC filings. Develop relationships with Legal, Accounting, Finance, and Treasury Departments, and understand key links within organization relative to role. Develop and maintain relationships with outside attorneys, third-party mortgage banker intermediaries, and outside loan servicing team. Perform legal assignments that are varied and complex in nature. Assignments may be broad, requiring ingenuity and a high degree of technical skill. Must have 5+ years of experience in a paralegal capacity in a commercial real estate environment. Should have demonstrated experience closing commercial real estate loans, including loan workouts and REO properties. Must have understanding of loan documents, title, survey, and third-party due diligence materials.
