Senior Corporate Counsel
The candidate will report directly to the General Counsel, and will have significant and wide ranging responsibilities and opportunities for career advancement. Will primarily be responsible for drafting and negotiating complex technology licensing and commercial contracts of all shapes and sizes, with significant exposure to all functional areas. Support all business units and functional areas in all geographies, reviewing, drafting, structuring and negotiating contracts of all types, including inbound and outbound software and patent licensing agreements, master purchase and supply agreements, OEM and ODM agreements, distributor and reseller agreements, indemnification agreements, services and consulting agreements, IT agreements, etc. Respond to legal requests and queries from individuals in all areas and all levels within the organization on a worldwide basis, and proactively recognize and address potential legal issues as they arise. Continuously improve standard form agreements and legal processes. Provide practical, business-oriented and actionable advice in terms non-lawyers can understand. Undertake special projects as required to support new business initiatives and technology development programs and advise internal clients accordingly from both a legal and business perspective.
Qualification and Experience
The candidate should have a law degree from top law school. Undergraduate degree in engineering a plus. Must have 5-8 years of large law firm and/or in-house experience. Should be a member of the California Bar. Must have experience in the drafting and negotiation of commercial agreements for technology companies. Should have basic knowledge of adjacent subject areas such as revenue recognition, antitrust, bankruptcy, data privacy and security, export controls, open source, etc., plus willingness and ability to learn and become company subject matter expert in those areas.
