Corporate Counsel
The candidate will report directly to the VP of Legal and General Counsel. Will be responsible for supporting sales in negotiating and closing all direct global customer contracts, including software term licenses and professional services. Negotiate software licenses, from the RFP/RFQ stage through contract execution, as well as interface with sales regularly on the direct customer pipeline. This includes defining contractual requirements and appropriate terms, and negotiating and drafting contract terms and conditions. Support the proposals/negotiations process by assisting sales with terms and conditions review, redlining, drafting and negotiating. Establish and maintain policies and procedures for the legal/contracts department. Review and recommend company position regarding customer terms and conditions. Execute assigned projects as determined by needs of the business.
Qualification and Experience
The candidate should have B.A./B.S. degree with a strong academic record. Should have a J.D. degree from an accredited law school. Must have 3+ years of general software licensing work, either in house or at a reputable law firm. Should have experience implementing business strategies, structuring deals, and negotiating agreements. Must have knowledge of and experience in intellectual property law and technology transactions.
