Job Profile. Corporate Paralegal
The candidate will assist Director, Legal Affairs and Compliance in supporting the global legal needs of the company. Responsibilities will include: Corporate governance for company subsidiaries including drafting resolutions, minutes, articles of organization, etc. Maintain global legal entity database (hCue Entity Manager-CT Corporation). Reviews and/or drafts legal documents, such as Confidentiality Agreements, Letters of Intent and other commercial and/or transactional documents. Assists in organizing and maintaining all legal department files. Handles Employment Practices Liability Insurance administration, including reporting of claims to carrier and tracking/reporting to carrier. Prepares and drafts other legal and business communications. Drafting certain portions of Proxy Statement and managing proxy season calendar, shareholder communications/mailings, interface with transfer agent. Management of legal budget and invoice processing. Support the Company's mission, vision, values, and goals in performance of daily activities. Responsible for adhering to all internal and OSHA required safety procedures in performing daily work activities. Maintain high standards of housekeeping throughout the work area. Maintain a positive working relationship with all levels of the organization. Assures compliance with federal, state, local and corporate policies regulations and laws. Adherence to all company policies and procedures (ex. Quality Policy Manual, Colleague Handbook, Change Control, Level II Procedures, etc.). Reports directly to Director, Legal Affairs and Compliance. Interfaces on an as needed basis with colleagues from Treasury, Finance, Purchasing, Risk Management, Human Resources, IT and Operations. Interfaces regularly with global legal counterparts. Provides model behavior to demonstrate corporate values. May serve as a lead support for other function colleagues. Project Management assignments.
