Corporate Legal Assistant The candidate prepares and files incorporation and formation documents, typically in Delaware but also other jurisdictions. Prepares board consents and stockholder consents including both organizational and transactional. Prepares basic organization documents, including stock certificates and stock ledger, typically for Delaware but also other jurisdictions. Completes and files Form SS-4s to obtain EINs, as well as other tax related forms. Compiles and maintains minute books and stock ledgers. Conducts research to assist attorneys in determining jurisdictions for qualification. Prepares and files qualification and withdrawal applications. Orders lien searches and summarizes lien search results. Prepares and files statutory filings, including amendments, mergers, and dissolutions. Calculates Delaware franchise tax (both methods); also calculates franchise tax for other jurisdictions. Obtains information from, and provides information to, clients. Formulates solutions to problems which may arise, such as good standing issues. Interfaces with corporate service providers regarding statutory registered Agent services (including changing contact information). Provides direct support to clients (using discretion to handle matters directly or involving a attorney). Anticipates needs, acts without direction, asks questions. Handles many projects at one time. Assumes responsibility for self (and team); does not blame others. Seeks and implements new and better ways of working; process improvements. Markets services to attorneys.<br /> <br /> The candidate must possess 4+ years of Corporate Legal Assistant experience; Bachelor's degree preferred. Should have experience in M&A, private equity, and/or venture capital. Demonstrated history of proposing and implementing process improvements is a plus. Additional qualifications include excellent analytical and organizational abilities, solid communication and Management skills, strong computer abilities, creativity, and initiative needed. Flexibility for Travel and overtime required.
