ISDA Negotiator Duties: Supports the firm’s global derivatives and swaps clearing and futures businesses by providing essential negotiation and contract administration support for the firm’s Platinum and Priority counterparties/clients. Will be assigned a specific group of high priority clients and will be responsible to ensure that the more complex and difficult documentation issues are addressed and resolved in accordance with the team's SLA. Will assist with the development of training materials and provide training and mentoring for the more junior members of the team. Will be the first line of inquiry for the relevant business when issues arise regarding their assigned counterparties and he/she will be required to have sufficient institutional knowledge so as to be able to coordinate with other areas as necessary to resolve issues related to the negotiation of a contract. Will have extensive interaction with their counterparties, including corporate and hedge fund customers and their internal and external counsel, and act as coordinator to resolve documentation issues with the front-office/sales and middle-office staff of the business units, credit and tax areas, as well as the lawyers assigned to cover the business. Will be responsible for all stages of the contract process from the initial drafting through execution. Consistent follow up during a negotiation process, maintaining detailed records of the negotiations along with a committed effort to stay abreast of new and changing regulatory and legal issues and industry initiatives. Should have a thorough understanding the ISDA master agreement, the FIA/ISDA Cleared Derivatives Addendum, and relevant futures clearing agreements, and a working understanding of the CFTC's regulatory regime for swaps clearing and futures.
Qualification and Experience
The candidate must have a BA/BS Degree and 7+ years of ISDA Master Agreement, Futures clearing agreements and other documentation, negotiation experience in a large institutional setting. A JD degree is preferred. A proven record of completing complex documentation within very tight time deadlines is essential. A strong grasp of the relevant legal and credit concepts is required as is experience with complex corporate structures including hedge funds, structures involving third party lenders, Special Purpose Vehicles, mutual funds and the like. Must be detail oriented with excellent written and oral communication skills as well as strong reading and analytical skills. The ability to exercise mature judgment and adhere to policy guidelines is necessary as well as a self-motivated character that is capable of working autonomously. Proficiency in MS Word and Excel is also required along with the technical skill to use the firm’s proprietary workflow, database and other essential technical systems.
