Vice President and General Counsel The candidate will serve as a member of the senior leadership team and as firms primary in-house legal counsel. Will have responsibility for all legal and policy matters affecting firm business. Be supported by outside counsel on certain areas of specialization. Develop, evolve and execute business processes to support Company goals and harmonize with legal requirements. Own and manage the Company's SEC reporting and various filing requirements including 8k s, 10Q s, 10K s, and Section 16 filings. Own and manage the Company's contract review and administration process, and serve as the lead attorney for contracts as well as draft, review, and negotiate contracts in partnership with business units, including (among others) software license, master service/provider, marketing, consulting, and licensing agreements, and other key documents. Draft and negotiate real estate leases, amendments and renewals, estoppels and subordination agreements; oversee lease administration; advise on development, construction, and facilities matters; handle landlord/tenant issues and other real estate matters. Manage outside counsel on matters pertaining to lease negotiation, employment matters, franchise documents and communications, etc. Manage various matters relating to litigation and disputes, regulatory agency inquiries, and other high risk matters. Maintain the Company's intellectual property portfolio and coordinate with outside counsel on any new applications. Serve as lead attorney to all Home Office departments and partner with these business units and senior management to provide day-to-day and big-picture strategic advice and guidance in order to achieve the Company's objectives. Create, implement, and manage internal processes associated with Legal Department functions and services, as well as create and roll-out critical department and enterprise-level initiatives in partnership with business stakeholders. Analyze and interpret laws, statutes and regulations, and identify areas of compliance, as well as potential vulnerability and risk; partner with the appropriate business unit(s) and/or operations in order to develop and implement appropriate action plans. Create and present internal training and best-practice sessions. Perform additional tasks as requested by the other corporate officers, and provide other legal advice and services as the legal needs of the organization arise. The candidate should have a strong academic record and J.D. degree from an accredited law school. Should be licensed (or the ability to become licensed) in Texas. Must have 10+ years of total legal experience. Experience in SEC reporting required. Combination of law firm and in-house experience preferred. Retail/Restaurant/Hospitality experience preferred.
