ProfileCorporate Counsel The candidate will function as a member of the corporate law department, handling legal matters which arise from the day to day operations of a growing, complex and dynamic company operating in a highly regulated industry. Report to the Senior Vice President, General Counsel and Secretary of the Company, and will be located at the Company’s corporate headquarters in Lisle. The primary focus of this position will be negotiating (a) leases, licenses and easements with owners and operators of real property, including building access and venue use agreements and (b) complex telecommunications services agreements with wireless service providers and other telecommunications carriers. Specific responsibilities will include: Negotiating contracts with product suppliers and service providers ranging from professional to construction and maintenance services; Providing advice and guidance on a wide variety of commercial and corporate matters for the Company; Keeping the Company’s senior management abreast of significant decisions, legislation and regulatory developments that may affect the Company’s business or policy; Working with and managing outside counsel, as needed; Developing a thorough understanding of, and familiarity with the Company's business, its people, markets, facilities, customers and competitors, to identify trends and formulate structures and strategies accordingly; Performing special assignments or projects as assigned by the General Counsel. An undergraduate degree and law degree with high academic achievement from a national law school; 4 – 5 years of commercial contracts experience, preferably with a major law firm and/or corporate law department; experience negotiating and documenting a broad range of transactions and contractual relationships, preferably those involving telecommunications services, construction services, supply chain issues, access to and use of real property, and technology development and transfer. Experience counseling entrepreneurial and high-growth entities strongly preferred. A solid understanding of business and commerce, and the ability to diagnose and distinguish among legal and business problems, and to formulate and present positive, creative, actionable solutions and alternatives for management preferred. Superlative written and oral communication skills, including the ability to read, think, speak and write with precision, clarity and nuance preferred.
