Corporate Technology Companies Group Associate The candidate will assume significant responsibility, work directly with clients and be an integral member of a vibrant team. Must have strong academic credentials, excellent legal research and superb writing and oral communications skills. Must be admitted to the New York State or Washington, D.C.Bar. Should have strong transactional experience drafting and negotiating agreements, such as various service provider agreements (e.g., cloud services, digital advertising), payment/merchant processing agreements, co-branded deals, private-label agreements, as well as terms and conditions for various retailer programs (e.g., loyalty programs). Experience working on compliance and issue-spotting with respect to various consumer-facing regulatory regimes, such as Gramm Leach Bliley, Fair Credit Reporting Act/FACTA, Truth in Lending Act. Familiarity with NACHA, prepaid cards, and prepaid access, as well as Payment Card Industry (PCI) rules, is a plus. Familiarity conducting due diligence and drafting mergers/acquisitions agreements, is a plus. Must have general familiarity and experience working with general data privacy and consumer protection statutes and regulations, such as Section 5 of the Federal Trade Commission Act, state UDAP equivalents, FTC-based guidelines and frameworks, and is comfortable drafting privacy policies and terms of use for websites and online services. Familiarity with federal marketing rules such as CAN-SPAM, TCPA, and state contests and promotions law a plus. Should be a highly motivated, dynamic, and creative individual with outstanding interpersonal skills and above all a team player.
