ProfileTax Director - Trading & Treasury Duties: Report directly to the NextEra Energy Resources Executive Director of Tax Planning. Drive value by providing support to deal teams and business units throughout the organization with respect to the U.S. federal, state and local tax aspects of financial instruments with a view to optimize taxes. Will also provide subject matter expert (SME) support for U.S. taxes arising from financial transactions, work with internal state and local tax SMEs to provide complete tax analysis, manage external U.S. tax counsel, and be able to understand and communicate tax accounting issues. Will serve as the tax single point of accountability for treasury and trading issues while effectively communicating complex technical tax issues to Senior Management and internal/external stakeholders, including the broader finance business unit, and negotiate and draft tax provisions in deal documents and prepare technical tax memoranda. Will also be able to manage and develop team members while prioritizing various responsibilities and deliverables. Advises and guides the organization on the tax aspects of planning, structuring, and executing transactions of all sizes. Analyzes proposed restructuring and acquisition transactions. Leads tax aspects of deal and project valuation modeling efforts, financings, and contract structuring. Interprets complex statutory and regulatory actions relating to corporate and partnership transactions. Performs other job-related duties as assigned.
Qualification and Experience
Qualifications: High School Grad / GED. Bachelor's or Equivalent Experience. Preferred Certified Public Accountant (CPA); Master's - Accounting / Finance; LLM - Master of Laws. JD Degree /LLM Strongly preferred. 2 years of experience required working on financial tax issues at an AmLaw 100 law firm or in the capital markets group or Washington National Tax office of a "Big 4" public accounting firm preferred.10+ years of experience in this area that includes:(1) tax planning for a marketing and trading business (e.g., analyzing the tax impacts of debt issuances and restructurings, equity, options, forwards and futures, and swaps); (2) working with the rules in Subchapter K, Subchapter C, and the consolidated return regulations and applying them to financial instrument transactions; (3) structuring and documenting complex internal and external financing transactions; (4) drafting tax memoranda, opinions, and ruling requests; (5) reviewing transaction documents and drafting tax provisions; (6) reviewing and commenting on the tax aspects of financial models; (7) demonstration of the ability to understand and communicate the proper tax accounting of financial instruments (e.g., proper recording of timing and character of income, including, section 1256 contracts and mark-to-market rules, etc.); (8) providing management, development, and career support to team members; (9) communicating complex tax technical issues to Senior Management and internal/external stakeholders; and (10) overseeing critical business operations with minimal direct supervision.
