Associate Tax Counsel The candidate should have significant experience in capital market transactions including mortgage backed securitizations, debt issuances, credit risk transfer and other sophisticated financial structures. Will work directly with senior business unit personnel providing counsel as required on both recurring normal business structures as well as unique ad hoc transactions. In addition, work with the Vice President Tax, other tax associates and within the department, members of the corporate legal department as well as external legal and accounting advisors. Provide expert advice and guidance related to all mortgage backed securitization transactions including our normal PC and REMIC structures and other securitization transactions. Investor Tax Reporting – provide advice on various tax reporting issues for REMICs, PCs and other capital market transactions. Provide advice to tax accounting and compliance group regarding appropriate tax accounting methods. Advise business units on changes to the Company’s Seller / Servicer Guide. Provide guidance and advice related to credit risk transfer transactions and structures. Advise business units on tax impacts of performing and non-performing loan sales. Provide guidance related to debt issuance transactions. Provide tax counsel in other ad hoc and special project areas such as hedging, FATCA, Low Income Housing Tax Credits, Research and Experimentation credits and partnership matters.
Qualification and Experience
The candidate should have J.D with 10+ years of tax experience in capital markets within a financial services organization, law firm and / or Big 4 Accounting firm. CPA or undergraduate degree in accounting is preferred. Must have in depth tax knowledge of REMICs; Mortgage Industry. Should have strong financial / accounting aptitude and robust analytical skills. In addition to outstanding tax technical skills, this position requires excellent communication and writing skills. Should have outstanding executive presence as well as excellent written and verbal communication skills. Basic understanding of ASC 740 – Accounting for Income Tax is desired.
