Assistant General Counsel Duties: Primary responsibility for U.S.A. on-shore and off-shore legal matters, with the possibility of also working on projects outside the U.S.A.. Participation in multi-disciplined teams for exploration, production, acquisition, disposition and other relevant areas of upstream energy work. Work fluidly within on-shore and off-shore legal environments. Work seamlessly with Land, Commercial, Tax, Finance and Business clients. Use initiative to engage closely and pro-actively with senior members of the legal department and all business functions and various management levels to create value by delivering innovative, timely, high quality legal advice with a focus on promoting the commercial goals of the company in relation to contract drafting and negotiations, analyzing legal documents, laws and regulations. Use his/her initiative and expertise to assure compliance with applicable laws and regulations. Collaborate and share experiences and knowledge with the other Hess lawyers in the global legal group. Be involved in developing the use of technology to improve collaboration, communication and sharing of information in a global organization. Be flexible and comfortable in a fast paced environment. Be accustomed to times of increased work load. Be curious and enthusiastic and willing to further develop his/her legal, business and leadership skills.
Qualification and Experience
QUALIFICATIONS: Licensed attorney in the U.S., preferably licensed in Texas. J.D. degree from a top 100 U.S. law school and a sound academic record. 15+ years of relevant work experience with a law firm or in-house legal department for an oil & gas company is required. Experience with purchase and sales agreements for hydrocarbon assets and associated due diligence is required. Experience negotiating and advising on oil & gas leases, right-of-ways, farmins/farmouts, JOAs, unitization agreements, pooling agreements, facilities sharing agreements, processing agreements, joint bidding agreements, creating ORRIs and NPIs, familiarity with bidding procedures for GOM lease sales, joint studying agreements, etc. is required. Adept at providing preventive advice and training to clients and in reviewing "lessons learned" with clients and fellow lawyers. Demonstrated experienced in mentoring younger lawyers. International law experience, including experience with production sharing agreements, exploration licenses and production licenses outside the US is a plus. Familiarity with compliance issues (FCPA/UK Bribery Act, export controls, sanctions, competition laws) is a plus. Proficiency with another language an advantage. Litigation experience a plus.
