M&A Senior Tax Manager The candidate will act as a primary tax point of contact for company’s Strategic Investments team, including coordination of Tax input for Acquisition and Divestiture transactions as well as certain discrete investments. Coordinate tax due diligence and link to subject matter experts in US and foreign direct and indirect tax as well as other areas of Global Tax and Trade, including customs, export controls, trade compliance, etc. Lead tax planning for post-acquisition integration including legal entity consolidation, implementation of transfer pricing, etc. Provide specific and actionable advice on complex international tax topics and transactions. Lead and support projects to optimize enterprise transactions and legal structures, including collaboration with business units on new business opportunities. Identifies opportunities and develops and leads or implements plans to achieve them. Work with internal and external resources to create, implement, and manage complex tax positions, integrating both US and foreign tax consequences. Provide guidance and training on complex topics to managers in Global Tax & Trade, Corporate Accounting, Corporate Treasury, Legal Services Division, business units, and other subsidiary operations. Leverage a deep understanding of US Tax to provide support and technical guidance on complex business and tax issues. Key customers include business and tax division leadership, as well as tax compliance and audit teams. Work with counterparts to guide the development, maintenance and updating of control procedures and policies related to international tax positions. Working with Senior Leadership, manages the adherence to tax control procedures and process documentation. Work with senior tax leadership to develop documentation and arguments for tax audits and appeals as needed. Develop responses to IRS inquiries on complex topics and analyzes technical positions in IRS audit examinations. Provide technical guidance and consultation to compliance organization on complex international tax issues. Provide final concurrence to compliance for key international tax positions. Analyze and calculate financial impact of critical proposed tax laws and regulations as needed. Assist senior management with communications to company leadership and external coalitions and taxpayer organizations to influence the course of legislation. Prepare documentation and schedules supporting accounting for uncertain US International tax positions. Lead projects involving complex issues or problems, which require careful analysis and diagnosis. Problems are often unique and solutions may require original approaches. Sponsor projects which may modify existing approaches or develop new solutions. Manage a work unit of primarily management/professional employees where review of subordinate work is required as well as training, developing and mentoring. The position is responsible for personnel issues and performance evaluation of subordinates. The position often confronts complex issues or problems, which require careful analysis and diagnosis. Problems are often unique and solutions can require original approaches. Modify existing approaches or develop new solutions. Set priorities and establishes a work plan in order to complete broadly defined assignments and achieve desired results. Impact key quality goals including Customer Satisfaction, Continuous Improvement, Timeliness, Accuracy, Efficiency, Cost Savings, Process Quality, etc. The position monitors adherence to quality standards and develops action plans for addressing below standard performance. Bachelor's level degree and 13+ years of tax or accounting experience required. License or Certification: CPA, CMA, Master of Science in Taxation, JD certification required. Strong background in accounting, accounting for income taxes and/or relevant trade experience required.
