Staff Counsel The candidate will provide legal support to company's Biller Solutions division, encompassing the division's full portfolio of billing and payment solutions. Major responsibilities include negotiating client, vendor, and processor agreements; providing counsel to sales, account management, product, implementation, and technology leaders on legal matters; and liaising with company specialists regarding intellectual property, technology, privacy, security, regulatory, employment, and litigation matters. Work directly with business unit executives to prepare, review, and negotiate all contracts required by the business, including client agreements, vendor agreements, processor agreements, agent agreements, and terms of use. Provide consultation and legal advice with respect to strategic initiatives, technology projects, customer and vendor contracts, intellectual property, human resources, dispute resolution, regulatory matters, corporate policies and procedures, and administration. Review enterprise risk issues and participate in risk mitigation and escalation processes. Maintain knowledge of industry best practices. Keep abreast of proposed and existing legislation related to operations of the division and advise the business accordingly. Work closely with, and provide guidance and training to, contract specialists. Develop and maintain forms of contracts and other legal documentation. Perform other duties as required.
Qualification and Experience
The candidate should have a Law degree from a law school approved by the ABA or proper state authorities. Should have appropriate license to practice law. Must have 5+ years of progressive legal experience. Law firm and/ or in-house experience preferred. Transactional and commercial contracting experience required, preferably with an emphasis on technology contracts. Payments law experience highly desired. Occasional travel is required.
