Staff Attorney The candidate will manage and perform a number of legal support functions, including: reviewing, negotiating and drafting services, licensing, merchandising, and other agreements; meeting directly with internal clients and third parties; solving problems and responding to questions about firm’ contract policies, use of form contracts, interpretation of contract terms, and other issues; reviewing, analyzing and synthesizing laws and regulations; and assuming a project management role, as needed. Will review, draft and negotiate contracts, including meeting with internal clients, developing strategy to mitigate legal risks, presenting options and explaining terms, and negotiating directly with third parties. Provide general advice regarding commercial transactions, such as analyzing and advising on legal and business risks associates with new product and/or services offerings. Advise clients with respect to Staples’ contract policies, use of form contracts, interpretation of contract terms, and other issues. Enter contract information in firm’ contract management systems. Develop and/or assist with drafting new contract templates and contracts processes. Develop and/or assist with training internal clients on contract and legal issues. Review existing (and proposed) laws and regulations and understand how they may affect internal clients, synthesize such laws and regulations for other attorneys, and help advise internal clients on such laws and regulations. Assist with and/or conduct project management tasks.
Qualification and Experience
The candidate should have a Bachelor's Degree. Must have JD degree from U.S. law school. Licensed to practice law in one U.S. state (MA Bar admission preferred); Active status in good standing is required. Also 2+ years of prior legal experience, however recent law school graduates with less experience may be considered. Experience in commercial contracts essential. Experience drafting and negotiating vendor, manufacturing, services and licensing agreements needed. Must have experience in working directly with third parties in both cooperative and potentially adversarial scenarios. Proficiency in Word, PowerPoint and Excel essential.
