Senior Counsel The candidate will provide practical, timely and quality legal services to help the company meet its business objectives through deep understanding and compliance with company policies and objectives, as well as laws, rules and regulations applicable to the company's businesses. Provide strategic advice and legal services, primarily relating to: Complex business development transactions, including M&A, product licensing and strategic collaborations, (due diligence review; document drafting, review and negotiation; transaction structuring; and post-closing matters); Direct sourcing transactions, including finished dosage, API and excipient arrangements; Product and device development transactions and collaborations (including biosimilars). Assist with other general corporate and commercial matters. Support development of enhanced and streamlined strategic processes for contract review, drafting, negotiation, approvals and archiving, including global harmonization of key terms and conditions. Collaborate with Global and Regional attorneys and other internal professionals engaged in primary areas of responsibility. Manage and perform projects that involve complex or difficult issues requiring a high degree of original and constructive legal effort and business acumen. Identify risks inherent in contract terms and develop solutions to complex problems that mitigate risk and promote successful contract execution. Establish rapport and a positive working relationship with business unit management and personnel at all levels to encourage and continue the proactive use of in-house legal counsel. Responsible for educating and training company legal team through communication and ad hoc training opportunities. Manage external counsel engaged in areas of responsibilities, including budget. A Juris Doctorate and 15+ years of experience working in a law firm and in-house law department required. Extensive experience with complex business transactions required. Pharmaceutical industry experience preferred. Must be admitted to practice in one or more U.S. jurisdictions with active bar membership. Previous management experience preferred. Proficiency in speaking, comprehending, reading and writing English is required.
