Senior Counsel, Commercial The candidate will be responsible for providing general legal and commercial services to worldwide businesses. Responsibilities include counseling with respect to, and negotiating and documenting, general commercial matters arising out of assigned areas of product and business responsibilities, including sales, contracting, marketing, purchasing and business strategy. Works with professionals across functions and contributes to the development of legal strategy, including education, and legal support processes. Developing innovative solutions to legal issues in support of strategic business initiatives and objectives. Reviewing, revising, drafting, negotiating and advising on sophisticated and complex contracts, such as collaboration and partnering agreements, development agreements, key supply and services agreements, technology agreements, and co-marketing agreements. Designing legal support processes and milestones to align and achieve business strategic goals. Influencing key business leaders in decisions with respect to commercial matters. Advising on strategic plan development and execution for applicable business units/products, including by collaborating with other professionals in the law group and in other functions. Assuring proper resource planning and managing outside counsel. Maintaining highest level of legal technical competence and expertise.

Qualification and Experience

The candidate must have 7-10+ years of relevant law firm or in-house experience. Should have College degree and J.D. degree from top-tier law school. Active member of a State Bar. Significant experience in contracts and commercial matters is required. Proven academic and professional track record, as well as superior legal writing, interpersonal and communication skills is needed. Experience with healthcare laws, including medical device regulations, is desired. Expertise in commercial agreements is must.
