The Senior Corporate Counsel (Securities and M&A) will provide legal advice on mergers and acquisitions, direct investments, Securities Exchange Act reporting, securities offerings and corporate governance. He/she will work closely with inhouse and outside lawyers, draft and review M&A and investment documentation and securities law filings, and be an integral part of the company's legal team, working closely with other company departments, including finance, tax and corporate development. Candidates must have a J.D. from a nationally recognized law school, with a history of outstanding academic performance, and be admitted in good standing to the bar of any U.S. state with the ability to meet the requirements to register as house counsel in Connecticut. The ideal candidate will meet the following criteria: - 4-6 years M&A and U.S. securities law experience at a large, national or international law firm. - Significant U.S. and international M&A and investment deal experience and responsibility, including familiarity with associated anti-trust/competition issues. - Significant experience representing U.S. public companies with Securities Exchange Act reporting and related matters (including periodic and current reports, Section 16 reporting, proxy statements, NASDAQ listing requirements and corporate governance). - Demonstrated ability to identify and address legal issues while coupling legal advice with pragmatic business solutions. - Ability to read and understand financial statements.
