General Counsel Duties: Will be responsible for providing legal review, consultation and advisory work involving all areas of the company. This includes drafting and reviewing organizational documents that have legal significance, offering opinions and modifications that will enhance the company's legal position and ensuring transactions are legally sound and consistent with the company's mission, authority, policy and procedures. The General Counsel is a member of the company's senior management team and has direct oversight of the Registrar’s office and Legal team. Provide legal advice, support and representation on legal issues relating general business, corporate, non-profit, liability, Native American Graves Protection and Repatriation Act (“NAGPRAâ€), employment, real estate and other Museum related matters. Manage with the Chief Financial Officer, all matters related to the company's ownership of real property or interest in real property, including negotiation, preparation and review of legal documents necessary to acquire, protect, manage, transfer or lease real property; direct real property transactions to ensure appropriate authorization, consistency with company's policy, timeliness and accuracy. Draft and/or revise meeting minutes, memoranda and resolutions for the Board and its Committees as requested. Serve as the Assistant Secretary of the Corporation. Negotiate complex, high profile or sensitive agreements. Retain outside counsel and supervise and coordinate litigation affecting the company. Maintain all requisite government lobbying registration and reporting requirements.Represent the Museum before a variety of tribunals on diverse matters of law. Oversee the company's registration Department and Legal team, including the Paralegal.
Qualification and Experience
Qualification Requirements: A Juris Doctorate degree from an accredited law school. An undergraduate degree from an accredited institution. A valid, active license to practice law in the State of Hawaii. 5+ years of legal experience in the areas of transactional, business or corporate law. Proven ability to work with a wide range of people including both attorneys and non-attorneys in the public and private sector. Ability to manage multiple projects simultaneously and work effectively in high pressure situations while maintaining composure. Commitment to the goals of the Museum and demonstrated understanding of operations of a company's Microsoft Office Suite. Professional, business-like appearance. Flexibility in schedule to meet deadlines.
