Director and Senior Counsel, North America Real Estate Responsibilities: Responsible, in conjunction with internal and external legal resources, for carrying out all real estate functions for Iron Mountain’s businesses in North America, including real estate purchase and sale transactions, leases, lease amendments and landlord/tenant disputes, and generally to support North American business leaders with respect to real estate aspects of operations. Prior to the Recall acquisition, business consisted of approximately 680 facilities, aggregating 51.5 million square feet, about 42% of which are owned. Manage the drafting and review of leases, lease amendments and similar interactions with representatives of landlords of facilities leased; Manage the drafting and review of real estate purchase and sale agreements, which may be in almost any state or province, performance of due diligence activities and the legal aspects of closing real estate transactions; Manage the real estate aspects of North American corporate development transactions; Manage routine real estate legal activities such as responding to requests for estoppel certificates, subordination, non-disturbance and attornment agreements, and documentation supporting the company’s REIT structure; Manage issues that arise with respect to owned property, such as encroachments, environmental matters, and eminent domain; Manage external counsel engagements related to the foregoing, including management of external counsel legal budgets and performance. Drafting and review of leases and lease amendments, interpretation of lease provisions and communications with landlords, as well as Iron Mountain real estate headquarters and field personnel, regarding lease issues; Drafting and review of real estate purchase and sale agreements for properties that will be used by the company in one of its lines of business, as well as review of diligence and attendance to closing; Participating with M&A attorneys generally in acquisition transactions, to review and manage real estate aspects of the transactions; Managing the maintenance of sublease structures between QRS entities and TRS entities in North America, ensure that appropriate entities are used for real estate agreements for various business lines and assist in communications with landlords regarding such matters; Reviewing landlord requests for estoppels and SNDAs and ensure accurate responses and that SNDA terms are appropriate; Managing the legal aspects of issues that arise with respect to owned properties, which may include environmental issues, property rights issues, eminent domain matters and property maintenance and repair issues; and Managing the engagement of external counsel and costs incurred, to ensure compliance with budgeted expectations.
Qualification and Experience
Qualifications: JD Degree and bar admission, 10-12 years of experience as an attorney. Extensive experience in real estate transactions, including drafting experience; Thorough understanding of real estate law, including best practices in the areas of real estate leasing and acquisitions in the United States and Canada; Thorough familiarity with merger and acquisition best practices; Relationship building, communication and influencing skills to strengthen alignment with business units and other corporate functions, comfortable advising C-suite executives on complex legal issues; Strong project management skills; Ability to develop a comprehensive understanding of all aspects of Iron Mountain operations, both physical and digital; Ability to work effectively with outside counsel, including management of outside counsel budgets and costs.
