Attorney The candidate will provide support the company with legal analysis, research and drafting while working in a corporate setting. Address issues including corporate governance and compliance (FCPA), contracts and international law, Human Resources, immigration, mergers and acquisitions or other practice areas related to international mining operations. Contribute with effective negotiation skills, collaborative contribution as part of a team and working with individuals from different backgrounds and functional areas of expertise. Draft, review and negotiate contracts and other agreements. Draft presentations and assist in international compliance training. Provides legal support and advice to the operations and corporate office in legal matters. Analyze and identify legal risks and their implications. Draft memos on key issues as requested. Ensure the company policies and activities are in compliance with law. Remain current in terms of new business laws and regulations applicable to the company. Manage and coordinate legal work done by outside counsel to develop solutions for business and legal issues. Keep management aware of new regulations that may have implications to the Company. Provide support to Human Resources regarding immigration matters. Provide advice and support to ensure good corporate governance functions for the Company. Performs other duties as required.
Qualification and Experience
The candidate should have Juris Doctorate degree. Must have Bar certification with 7+ years of relevant post-bar professional experience. Experience with legal matters involving mining, safety, environmental compliance, corporate finance, import/export law, corporate litigation. Experience in a corporate setting in mining or related industries is beneficial and experience working in an international setting is highly desirable . Excellent analytical, research and presentation skills required. Strong oral and written communication skills in English. Ability to speak French, Mandarin and/or Portuguese is a plus.
