Counsel - Legal Services The candidate will provide high quality business focussed legal advice in relation to management of corporate legal risk and delivery of legal services to all of the company businesses in the PRC. Will be working as part of a close knit, collegiate regional legal team reporting directly to the General Counsel, Asia. Support the PRC business management to carry out the review of appointment documents in accordance with company Asia’s defined Appointment Process. Provide commercial orientated advice to the PRC business management on specific PRC legal issues and business. Advise on PRC compliant legal structuring and peripheral contractual documents such as PCGs, bonds, JVs etc. Provide business focussed advice on PRC legal and regulatory compliance requirements for all company Asia offices in the PRC (to include, licensing, insurances, company registration and governance). Provide review of, guidance and audit of anti-corruption, data protection/privacy, anti-trust compliance aligned to company group policies. Management of PRC claims and circumstances including reporting to insurers and instructing external lawyers as appropriate. Advise on recovery options (which may include litigation/arbitration) in respect of problematic debt in PRC. Will be providing support to M&A, due diligence in liaison with external counsel. Provide local training and guidance on legal and compliance issues. Provide ad hoc property, employment and other guidance to the business.
Qualification and Experience
The candidate should be qualified lawyer in PRC with 6-8 years post-qualification experience. However, will happy to hear from anyone who can demonstrate the skills and knowledge set out above. Post qualification experience partially gained in-house in international business preferred (via secondment, full-time or project exposure). Property development and/or infrastructure experience is needed. Should have knowledge of and experience of the services industry (ideally with some property development and/or infrastructure perspective). Must have understanding of corporate legal risks in a PRC context. Should have deep understanding of and application of PRC laws (including without limitation, contracting, anti-corruption, data protection/privacy, anti-trust etc.). Must be self-starter with an ability to prioritise work flows. Proficiency with MS Office applications (including, Chinese word-processing) is needed. English and Putonghua written/spoken fluency essential.
