Assistant General Counsel (Corporate) Duties: Sets the vision and provides direction as the team leader for the Special Investigations Unit (SIU), and leads, selects, coaches and develops staff using advance personnel management practices. Provides direction and guidance organizationally and interprets statutes, court decisions, rules and policies concerning or affecting the organization and provides written and oral legal advice and recommendations to management and staff on a daily basis. Coordinates defense of employers’ liability claims. Advises Human Resources on personnel and employment matters. Provides insurance litigation prosecution and defense (primarily workers’ compensation) in all forums including administrative agencies, workers’ compensation court, district courts, bankruptcy courts, courts of appeal, and the Supreme Court. Responsible for own litigation caseload, including fact investigation, legal research, development of theory and strategy for defense of case, writing and filing all legal documents, discovery, depositions, briefs, oral argument, settlement conferences and analysis of legal implications of outcome of the litigated case. Provides legal direction, advice and guidance to management and staff, interprets statutes, court decisions, rules and policies concerning or affecting the organization and provides written and oral legal advice and recommendations to management and staff on a daily basis on a wide range of legal issues including, but not limited to, statutes, regulations, cases, and legal implications of establishing or changing policies and employment matters. Develops and presents legal training to core business functions and others on statutes, regulations, cases, and legal implications of establishing or changing policies or procedures, RFP and contract services. Represents organization before various legal forums providing insurance litigation prosecution and defense (primarily workers’ compensation) in all forums including administrative agencies, workers’ compensation court, district courts, bankruptcy courts, courts of appeal, and the Supreme Court. Responsible for own litigation caseload, including fact investigation, legal research, development of theory and strategy for defense of case, writing and filing all legal documents, discovery, depositions, briefs, oral argument, settlement conferences and analysis of legal implications of outcome of the litigated case. Coordinates defense of employers’ liability claims. Advises Human Resources on personnel and employment matters. Participates in and may lead special projects across the organization to provide legal expertise as a representative of the General Counsel/Legal Department. Sets the vision and provides direction as the team leader for the special investigations unit, and leads, selects, coaches and develops staff using advance personnel management practices. Recruits and selects Special Investigations Unit (SIU) and other staffing as necessary; oversees staff training and development. Evaluates work load and determines distribution of duties and responsibilities. Coaches, mentors and evaluates direct reports. Ensures that performance standards are consistently met. Monitors quantity and quality of work performance. Assesses performance and provides feedback, evaluation, follow-up training as necessary. Recognizes and rewards performance throughout the year. Employs organization’s Progressive Performance Improvement process as necessary. Creates and sustains healthy environment reflecting teamwork, cooperation, mutual recognition and individual and shared accomplishment in serving internal and external customers. Develop and conduct legal training on an as needed or requested basis throughout the year, particularly for underwriters, CSSs, and policyholders. Provide legal advice and counsel on as needed basis to President/CEO, Vice Presidents, underwriters, customer service specialists (CSS), and claims examiners and other state fund staff, either informally or delivered through a written legal memo with citations to legal authority, dependent upon needs. Work with General Counsel and Insurance Compliance Officer on insurance regulation and compliance issues, as needed. Provide legal and business advice, counsel and serve as team leader or member on projects, including Strategic Business Projects (SBP), Annual Business Planning (ABP), Enterprise Strategic Project Management (ESPM) and other projects. Provide legal advice and counsel on procurement rules and method, draft RFPs and contracts and participate on RFP selection committees. Draft and negotiate contracts for all types of services provided to organization by contractors. Provide legal advice and counsel on Human Resource and employment related matters, including the application of federal and state employment laws, discipline, discharge and policy drafting and implementation. Respond to Bankruptcy Court filings to protect organization’s interests, as needed. Work with business teams on policyholder bad debt collections and workouts. Provide legal advice and counsel to marketing director on producer appointment issues and producer contracts. Respond to legal questions from external customers, including producers and policyholders. Provide legal advice and counsel on Other States Coverage program. Evaluate extraterritorial coverage issues as they arise. Provide legal advice and counsel as needed to the IT Department, Corporate Support Department, Safety/Safety Management Consultants. Evaluate code of conduct issues, in consultation with internal auditor, as needed. Reviews policy files and formulates defense strategies in policyholder litigation. Handles complex cases with significant potential impact, including employer liability cases. Propounds and responds to discovery in policy litigation. Conducts legal research on a wide variety of topics and issues touching all aspects of organization’s business and operations. Writes various legal documents including motions, briefs, proposed findings of fact, conclusions of law and orders. Formulates and presents oral arguments before judges. Conducts depositions. Engages in practice before the district court or the Montana Supreme Court by filing appropriate briefs and motions as well as presenting oral argument. Represents organization’s in settlement conferences. Provide assistance to policy holders and claimants with understanding the law regarding workers’ compensation and related areas. Review legislative proposals; provide advice as to potential impact; draft legislation and/or amendments to bills; and testify before the legislature and interim committees as requested by General Counsel.

Qualification and Experience

Requirements: Juris Doctor Degree plus 8 years of progressively responsible work experience in the legal field including five (5) years’ experience as a litigation attorney. Must be licensed to practice law in the State of Montana or, within 3 months of hire, be eligible to apply for and obtain a license on motion in accordance with the rules for admission to the Bar of Montana. Must have 4 years in a Leadership role. Experience in providing leadership on legal issues and in workers’ compensation insurance is preferred as are relevant designations and certifications.
