Associate Counsel The candidate reports to the Practice Leader within Legal Administration. Legal Administration provides full service corporate secretarial and regulatory support services to a variety of mutual fund complexes including open-end and closed-end funds. Provide corporate secretarial and regulatory support to a variety of funds and clients. Prepare board and committee meeting materials, registration statements, proxy statements, N-CSR filings and other regulatory filings; oversee preparation of such materials by administrative assistants and paralegals. Support Practice Leader in providing effective legal counsel to various company business lines, with a primary focus on Fund Administration within Investor Services. Support Investor Services sales team in building legal administration business; present legal administration services to clients and prospective clients. Prepare and maintain regulatory calendars for client mutual funds. Continue to strengthen knowledge of and experience with federal securities laws with a focus on the Investment Company and Investment Advisers Acts and other laws, rules and regulations affecting mutual funds. Should have law Degree. Must have Massachusetts Bar license. Prior mutual fund experience required. Should have 3 years securities law practice.
