Staff Counsel - Product Technology and Development The candidate will be providing guidance and support on legal matters relating to software and hardware development, platforms, web portals, products and services, including open source software issues, security and privacy by design, integration, testing, certifications and compliance with Federal and State regulations and export controls. Drafting and negotiating contracts, including non-disclosure, vendor, content, distribution and software license agreements. Reviewing and drafting product literature and marketing and advertising copy, including terms of service, FAQs, and click-wrap and end-user license agreements. Assessing legal issues associated with product development and go-to-market efforts, and engaging with subject matter experts and stakeholders to address those issues. Driving efficiencies by using and understanding existing legal processes and clearance workflows to effectively advise on and suggest practical improvements. Identifying and managing intellectual property issues associated with software and hardware development, including IP ownership, joint and independent development, client training and risk mitigation. Assisting in fact-gathering and analysis of existing and proposed rules, regulations and laws to support company’s public policy and regulatory efforts on issues relevant to new product and business development. Working and communicating effectively with colleagues across the company to drive product development and commercial launches.

Qualification and Experience

The candidate should have JD Degree from an accredited top-tier law school, with excellent academic performance. B.S. in electrical, computer, software or other engineering or computer science preferred; B.A. or B.S. degree with comparable technology fluency also considered. Member of the bar in good standing in at least one state. Must have 3-5 years of experience in-house at a technology company or in private practice handling transactions or litigation relating to technology and software development. Prior experience with federal and state privacy laws, telecommunications regulations, product development, intellectual property law, media, industry consortia and/or marketing and consumer law is desirable. Significant legal experience supporting software and hardware development and launching commercial products, and capacity and curiosity for learning a wide variety of new technologies and areas of law, as well as demonstrated good judgment and a proven record of building relationships and advising clients in a fast-paced, high-technology, collaborative environment.
