Profile

General Counsel The candidate will manage company’s Corporate Legal function. Hire, manage and develop the company’s Legal team. Provide guidance on a wide range of legal matters related to lending and financial services on both the state and federal level. Be an integral part of the executive team, passionate about the mission and a leader to the growing and protecting existing and new business lines. Support company’s Finance team in the drafting, negotiation and execution of equity and debt financing vehicles with institutional and other investors. Provide expertise in transactional matters ranging from note and security instrument content to entity diligence, title issues, insurance, and settlement. Advise on corporate matters including board resolutions, equity compensation, entity structure, tax, finance and insurance matters. Manage and coordinate outside counsel on all of the above. Provide subject matter expertise of financial services regulations, such as the Gramm-Leach-Bliley Act (GLBA), Fair Credit Reporting Act (FCRA), Truth in Lending Act (TILA)/Regulation Z, Equal Credit Opportunity Act (ECOA)/Regulation B, Electronic Fund Transfer Act (EFTA)/Regulation E, Bank Secrecy Act (BSA), as well as state and federal laws relating to usury, debt collection, loan brokers, and lending licensing requirements.

Qualification and Experience

A JD degree and ability to register and meet all requirements as in-house counsel. Should have 10+ years of total and at least 4+ years experience as an in-house General Counsel. Should have had an emphasis on transactional contracts, litigation and ability to learn new areas of the law quickly. Substantive knowledge and demonstrated expertise in capital markets, including debt vehicles and funds. Experience working with the FDIC and CFPB. Excellent business judgment, communication and interpersonal skills. Technology company and/or startup experience and exposure to California employment law would be preferred.
