ProfileAssociate General Counsel - Construction The candidate will draft/review contracts between the company and general contractors to support and facilitate business transactions while minimizing business risk. Focus on litigation and pre-litigation issues including monitoring the activities of any lawyers hired to represent company in various legal proceedings. Draft contracts between the company and general contractors to support and facilitate business transactions such as purchases of materials and services while minimizing business risk. Define specifications and prepare contracts that address insurance requirements, indemnification clauses, timing issues, and other terms of the agreement. Negotiate contracts with the vendors’ representatives to arrive at a mutually acceptable agreement. Amend contracts as required to adapt to changing circumstances. While working with commercial construction matters, attempting to eliminate or minimize damage claims. Monitor the activities of external lawyers to represent company in various legal proceedings and actions relative to the construction process and general litigation. Assist in the selection of external lawyers and the defense of the company. Participate as needed in drafting proposals (RFP) for the purchase of goods and/or services. Law Degree. Licensed to practice law in the State of New York and 5 -10 years of litigation experience required. Varied experience as a commercial litigator and significant experience handling construction litigation cases and/or experience litigating against general contractors and construction companies required. Experience with construction liability and professional liability cases involving design professionals (e.g., architects & engineers) required. Experience handling commercial construction matters (e.g. contract analysis, delay damage claims) required. Excellent editing, legal research, analysis and writing skills required.
