Paralegal Candidate will assist the attorneys of the Mutual Funds - Legal team in the preparation of memoranda, resolutions, board meeting notices and other materials for submission to mutual fund boards of directors/trustees. Prepare memoranda, resolutions, board meeting notices and other materials for submission to mutual fund boards of directors/trustees. Draft board meeting shells and other legal documents. Assist Attorneys and Paralegal staff in the production and dissemination of board materials. Research historical documents and respond to client and board inquiries. Maintain a mutual funds materials data base and respond to requests for production of documents. Create supporting materials, such as scripts, for mutual fund shareholder meetings. Oversee the conduct of shareholder meetings and serve as Inspector of Elections. Draft minutes of mutual fund shareholder meetings. Review and proof-read documents, including mutual fund registration statements and proxy disclosures, to assure accuracy. Finalize contracts, including generating final drafts and obtaining signatures. Input Board materials in an on-line materials delivery system. Organize and maintain legal files and records related to mutual funds and board actions. Assist with departmental projects as directed.
Qualification and Experience
Candidate with a College degree or Paralegal Certificate is preferred. Prior experience as a paralegal is a plus. Proficiency in Microsoft Outlook, Word and Excel is required. Experience with Adobe Acrobat is preferred. Should have knowledge of relational database software with strong information management and data retrieval skills.
