Profile

Temporary Paralegal Duties: Will be responsible for the day to day operation of the corporate legal function including assist attorney(s) in all phases of document review; forming a corporation, partnership or other legal entity (US and abroad) and assist day-to-day coordination and close interaction with the senior members of the legal department. Will work under attorney supervision, draft board and shareholder minutes resolutions/minutes and other governance documents; maintain corporate records for the subsidiaries including serving as the primary interface with non-U.S. outside counsel to prepare Board of Directors and shareholder resolutions and make periodic statutory filings; maintain calendar regarding corporate filings and board and shareholder meetings of the Company and its subsidiaries and affiliates; and assist with board and corporate governance matters including general corporate record keeping, annual reports, incorporation documents. Maintain tracking systems and other information management processes for legal matters relating to subsidiaries; maintenance for numerous corporate and partnership entities (domestic and foreign), including obtaining qualifications to do business and preparation of banking documentation; subsidiary file management; manage outside provider with regard to filing of annual reports/franchise tax documents in various U.S. states; update and maintain the Legal Department intranet website; may assist with M&A due diligence, including creation and maintenance of virtual due diligence rooms with outside vendors; assist Legal and Finance departments with special projects (e.g., foreign subsidiary dissolutions, intercompany transactions, financings, etc.); insurance matters, including acting as liaison between the GC and insurance brokers for D&O insurance applications related records; and perform other duties as assigned.

Qualification and Experience

Qualification Requirements: A Bachelor’s degree and/or completion of a paralegal program. 3+ years of paralegal experience at a corporate law firm or as a corporate paralegal of a public high technology company. Must be a good analytical and creative, able to work independently while being a true team member, have excellent written and oral communications skills, organized, adept at using Microsoft Office applications and be comfortable working on multiple projects simultaneously (including assigning priorities effectively). International/cross-cultural experience.
