Corporate Paralegal Emerging Companies Group Duties: Working under the supervision of attorneys, analysts or senior paralegals, paralegals support the delivery of quality legal services to clients by performing technical and clerical tasks that require accuracy, attention to detail, strong organizational skills, strong written and oral communication skills and computer proficiency. Representative duties include the organization and maintenance of various corporate entities such as corporations, partnerships, limited liability companies, (LLC), and limited liability partnerships (LLP). Other responsibilities may include coordinating transactions, including pre-closing due diligence, closing, and post-closing activities; research and investigation; organizing and compiling relevant data and materials; reviewing, analyzing and summarizing documents; drafting memos, correspondence, and legal documents; fact-checking legal documents; and communicating with attorneys and clients regarding factual, organizational and transactional issues. Qualifications: A Bachelor's degree is required, and a Paralegal certificate from an ABA-approved training program is preferred. May be required to be licensed as a Notary Public in the appropriate jurisdiction. 4+ years of paralegal experience is required. Demonstrates good organization, verbal and written communication skills, plus exhibits aptitude to develop specific and detailed knowledge and understanding of complex issues and procedures. Working knowledge of Delaware General Corporate Law, New York Business Corporate Law and California Corporations Code. Significant substantive working knowledge of the procedures, terminology and documents relating to the formation of the various corporate entities.
