Contracts Specialist Duties: Negotiating the service and supply wind turbine agreements, and supporting the administration of these agreements through the construction phase. Works with the Business Development Mangers, Supply Chain, Finance, Construction and other departments as needed to minimize the risks to the organization. After the agreements are handed over at the construction phase, Sales Execution assists with the administration of the agreements to ensure that the project are executed in accordance with the terms of the agreement and complies with company policies and guidelines. Act as first point-of-contact for contractual commercial and operational questions. Interpret contract language; suggest ways to resolve issues with customers; coordinate with Legal Department, outside counsel, and internal stakeholders. Develop contract modifications in conjunction with other functional areas e.g. Legal, Sales, Project Management, and Controlling to support refinements, issue resolution and/or new offerings. Further, develop contract deviation checklist and promote its usage for deal reviews. Serve as focal point for the completion of a Contract Risk Review Analysis and develop a report for each contract. Assist with developing analysis/contract deconstruction tools for new deal risk assessment including providing input for PreCalc improvements. Prepare and review non-disclosure agreements, teaming agreements, and subcontracts. Manage the resolution process for customer disputes and arbitration actions regarding project and operational performance with Legal, Sales, and field. Ensures that contractual issues are highlighted to the Project and potential dispute issues raised to Legal support. Arrange and conduct customer meetings for contract related issues. Also attend Project meetings as required. Draft, track, and coordinate control of documentation required for performance of contracts, including: change orders/variations, amendments, notices, and correspondence in collaboration with Legal. Ensure that the project is executed in accordance with the terms of the contracts and complies with company policies and guidelines. Participate in special projects/other duties as assigned.
Qualification and Experience
Qualifications: BA degree, and/or Paralegal degree with contract management experience, or any relevant combination of education, professional certifications, experience and/or technical background in contract management. 3-5+ years of directly related experience in all phases of contracts administration, and working knowledge of contract law. Certification or professional designation related to contracting, or law (Preferred). Proficient in Microsoft office. Knowledge of commercial regulations and laws Knowledge of the practices, procedures, and processes of contract administration as well as interpretation of regulations and contract clauses. Excellent oral communication skills with proven ability to prepare written materials in a clear, concise and compelling manner. Proven capabilities in problem solving, negotiations and conflict resolution Ability to plan, organize, multi-task, prioritize, and execute assigned workload to meet multiple deadlines. Requires thorough and in-depth contractual analysis and must be detailed oriented Will directly affect implementation and interpretation of obligations under contracts; may directly affect cost up to $1M per occurrence. Will use his/her knowledge to contribute to review of contracts, mentor and provide direction to Project Managers regarding implementation and execution. Knowledge will be applied to project throughout North America. Will communicate throughout the organization to effect change without direct exercise of command. Frame of interest will normally be on the level of shared desire to reach a solution within the corporation. Will adapt or enhance quality and value in existing review, approval, resolution and tracking methods; improve as part of day to day activities. Complexity will include resolution of problems and issues requiring broad based solutions requiring consideration of two of three dimensions; operational, financial, or human.
