Corporate Paralegal The candidate serves as a member of the Legal Department; is a team member and integral part of the Operations Team, the functional division of the Legal Department that primarily supports acute care hospital and affiliated operations; reports to and performs services under the direction and supervision of the Vice President and Associate General Counsel--Operations (“VP-AGC”) and such Associate General Counsel, Senior Counsel and other attorneys as delegated by the VP-AGC; serves as a member of and actively participates in the Physician Contract Service Center (“PCSC”), which is the operational unit of the Operations Team responsible for preparing physician contracts for hospitals and affiliated entities; and serves as a member of and actively participates in such other functional workgroups and teams as directed by the VP-AGC or his/her designee, including, but not limited to, workgroups under the direct supervision of the Associate General Counsel—Physician Integration; support and provide paralegal services to the VP-AGC, Senior Counsel and other assigned attorney(s), drafting physician and non-physician contracts; perform paralegal services for, and support hospital and its attorneys and business sponsors, with regard to: hospital operations, including contract review and preparation, document review and preparation, and assistance at the direction of the VP-AGC or Senior Counsel related to other projects; prepare, draft, review, transmit, and assist in the negotiation, and execution of physician and non-physician contracts, and related agreements and documents; prepare and proofread agreements, documents, memoranda, charts, presentations, spreadsheets, correspondence, and other reports or records in an effective and efficient manner; assist in preparation of and actively use Legal Department-approved template documents in accordance with approved guidelines, policies, and protocols; actively participate in in-person, video, and telephonic meetings, including workgroups, as assigned; actively use and support the Legal Department matter management software and system Manager and other technologies or tools maintained in the Legal Department in the performance of the Paralegal’s duties and support for the VP-AGC, Senior Counsel, and other assigned attorney(s); assist Legal Department to provide legal advice to Dignity Health leadership and management teams, with an emphasis on hospital operations; maintain physician and non-physician forms databases including periodic review and update of forms; manifest a commitment to Mission and Core Values, act and demonstrate behavior consistent with the Dignity Health’s Mission and Core Values in fulfilling the duties and responsibilities described in this Position Description, and contribute to a positive working environment in the Legal Department for all employees; work closely with assigned counsel and other Health Legal Department personnel, corporate offices and hospital-based staff departments as necessary, maintaining open communications and appropriate consultation in matters related to inter-office cooperation and position responsibilities; assist counsel in the overseeing and management of litigation, arbitration, administrative proceedings and other regulatory proceedings or matters arising out of or related to hospital operations; support and work collaboratively with outside counsel, including review of outside counsel’s legal work, on matters assigned to outside counsel; periodically travel throughout the company as required to perform the duties and responsibilities of the Paralegal described in this Position Description; maintain excellent working relationships and work collaboratively with others in the Legal Department, hospitals, and in outside law firms engaged by the company; possesses the demeanor, maturity, skill, discretion and professionalism to work and interact effectively with multiple and diverse constituencies who may be internal or external to company and the Legal Department; manage, organize and perform a variety of activities simultaneously (i.e., multi-task), while maintaining accurate and complete records and files; demonstrate the judgment and maturity required to handle crisis or difficult situations ensuring that appropriate decisions are made and essential people are contacted in a timely manner to manage the crisis or situation; strictly maintain the confidentiality of all privileged and other confidential, proprietary or non-public information that the Paralegal may come across in the course of performing his/her duties.

Qualification and Experience

The candidate should have 4-year degree and/or paralegal certificate from an ABA approved paralegal program or a Bachelor’s degree in Legal Studies or related field; 4+ years of paralegal experience in a law firm or corporate law department; proficient computer and word processing skills in recent and current versions of Microsoft Office Programs, including Word, Excel, Outlook and PowerPoint, Adobe Acrobat and Windows; ability to learn and actively use the Legal Department’s matter management system software; excellent written and verbal communication skills, including communication in a clear, concise and practical manner; excellent drafting, editing and proof-reading skills, including legal writing, grammar, spelling and composition; legal research skills including Lexis, Westlaw, or other computerized legal research tools; write, edit, and proofread complex agreements, documents, construction contracts, other legal documents and correspondence; ability to work collaboratively with others in a challenging and demanding environment and meet multiple deadlines; exercise discretion in, and maintain confidentiality of, communications with clients, outside legal counsel and others in assigned responsibilities; ability to work independently with minimal hands-on supervision, yet exhibiting good judgment in seeking guidance and direction from the VP-AGC, Senior Counsel, and other assigned attorney(s); familiarity with or willingness and ability to become familiar with Stark law, Federal Anti-Kickback Statute, and similar laws and regulations that apply in the healthcare industry; must have own vehicle and be able to travel periodically, including overnight; physical requirements include good manual dexterity, visual and auditory acuity, and some lifting, such as file boxes.
