An, Contracts And Trans Paralegal Senior The candidate would apply comprehensive knowledge of contract law and practice in reviewing and evaluating contractual agreements associated with compliance, employment, vendor management, client services, mergers and acquisitions and litigation from inception through closing; advise senior managers and ensure contract party performance, promote achievement of business objectives within the bounds of applicable laws and regulations and minimize the risk of financial loss and corporate liability; be responsible for managing, review and evaluation of internal and external contracts and agreements, as applicable to all lines of business including Commercial Insurance, Group Employee Benefits, Personal Insurance and Risk Management, Corporate Resources including Human Resources, Information Technology, Marketing, Accounting and Quality Assurance, Litigation activity Conducts legal research on new situations, seek advice and assistance from supervising attorney as needed and keep interested parties informed regarding status of contracts and performance; serve as an ongoing source of information and documentation concerning contract and agreement activity; provide support and analysis of compliance related to Carrier contracts, Agency licensing, Department of Insurance (DOI) regulations (D) FATCA (Foreign Account Tax Compliance Act) (E) OFAC (Office of Foreign Assets Control) (F) Client claims (G) Employment Law (H) Administration of Benefit Plans (I) Errors and omissions claims Conducts legal research on new issues, seek advice and assistance from supervising attorney as needed and keep interested parties informed regarding status of issue; serve as an ongoing source of information and documentation concerning the issue to completion; apply legal expertise and support of merger and acquisition activity which may include drafting and finalizing purchase or sale documents such as letters of intent and contracts, including negotiation of terms and language with contract parties and/or their attorneys, conducting legal research on prospective acquisitions, seeking advice and assistance from supervising attorney as needed and keep interested parties informed regarding status of transactions, reviewing due diligence documentation provided by Seller and obtained by corporate resources teams, assisting with resolution or reaching satisfactory agreements concerning Buy/Sell issues; identifying the need for and preparing additional documents such as indemnity and hold harmless agreements, covenants and declarations; ensuring transaction and execution of documents have been properly authorized and that funds and authorized personnel are available at closing; making provision for payment or notifying appropriate parties of funds which will be received; following contract execution, ensuring contract party’s performance under the contract; serving as an ongoing source of information and documentation concerning agencies acquired; manage and maintain corporate record keeping as associated with board meetings, maintenance of officer records, organizational charts and operating agreements; support supervising attorney as requested in the delivery of legal expertise in support of operations; may form new and entities; assist with litigation and collections of judgments, coordinate legal advice among internal corporate attorneys, coordinate and manage activities of professional service providers such as outside counsel, appraisers, accountants, and research and maintain state insurance and licensing filings and requirements.

Qualification and Experience

The candidate should have Bachelor’s Degree from 4-Year College or University Business Law area of study preferred; 7-10 years substantive legal experience as a specialist corporate legal support; proficiency with PC Windows-based software, including Word, Excel and Microsoft Office applications; strong oral and written communication skills, including outstanding interpersonal and consultative skills; superior ability to review, assimilate, analyze, summarize and present complex facts and legal concepts related to a given situation or transaction; demonstrates a high level of administrative competence and excels in analyzing and adjusting organization procedures for maximum efficiency; expert skills in contracts, conveyance instruments and financing instruments; expert persuasion and negotiating skills; knowledge of many city, state and county licensing agencies and their procedures, regulations and policies; knowledge of professional organizations and legal firms providing services in corporate support.
