Senior Paralegal-Assistant Corporate Secretary Duties: A member of the Firm’s Legal Secretary’s Office, will be assisting the Corporate Secretary in maintaining the legal status of the Firm and its subsidiaries. Preparing and distributing the Board, audit committee and shareholder meeting notices, agendas and materials in accordance with the Firm’s subsidiaries’ organizational documents and the department’s practices. Will draft meeting minutes and written resolutions, as well as various board/committee documents. Will help to ensure that the Firm’s subsidiaries comply with applicable corporate governance laws, rules and regulations and with their organizational documents and any filings or other corporate formalities required upon the appointment or termination of a director. Will be responsible for researching and preparing filings required for the Firm and its subsidiaries to continue to transact business and other corporate governance filings. Researching and preparing all filing required when there is a change to the partnership. Will be responsible for maintaining the signature circulars and inter-company service agreements for the Firm and its subsidiaries. Ensuring the annual reviews of each, implementing changes to each and creating a centralized matrix of all intercompany service agreements and signature circulars. Will be working closely with senior management and will need to have excellent communication and written skills. Prepare Board, committee and shareholder meeting notices, agendas and materials. Draft meeting minutes, resolutions and other Board documents. Work closely with senior management for the proper functioning of the Boards and their committees. Responsible for ensuring that matters discussed at meetings are followed up on, addressed and completed. Responsible for ensuring that the Boards and committees fulfill their responsibilities as set forth in corporate governance rules, laws and regulations and the company’s organizational documents. Responsible for ensuring that Board, committees and subsidiaries are in compliance with organizational documents and corporate governance laws, rules and regulations. Partnership and Other Filings / Licensing Conduct legal analysis to determine if filings are required. Research and prepare filings required upon a change to the partnership. Research and prepare filings required to transact business in various jurisdictions and corporate governance filings required in various jurisdictions. Research and prepare filings required to conduct business in various jurisdictions and if any exemption is applicable after an analysis of the law and the company’s businesses. Create and maintain matrix of inter-company service agreements. Prepare incumbency certificates and other officer’s certificates, as needed. Provide timely responses to clients’ and internal requests for information relating to the corporate organizational structure of BBH and its subsidiaries. Assist in the organization and maintenance of Departmental files. Assist in the coordination of information and document management of the Firm’s corporate records maintained by the department.

Qualification and Experience

Requirements: Paralegal Certificate Required. 5+ years’ experience at a law firm or financial institution, preferably in-house. Notary public is a plus. Bachelor’s degree (Advanced degree preferred). Excellent oral and written skills. Excellent organizational and research skills. Ability to work independently as well as part of a team. Experience in conducting complex business and legal analysis. Good judgment and decision making. Must be diligent, meticulous and adaptable to changing demands/priorities. Technically proficient. Knowledge of corporate law; and experience working with senior personnel.
