Senior Paralegal Responsibilities: Support the legal needs of a worldwide legal department and provide assistance on a wide variety of projects, including general corporate, securities, transactional, IP/trademark and administrative matters. Reports to the Associate General Counsel. Provide critical support for all in-house legal matters, including, general corporate, transactional and IP work. Assist with proofing and filing Form 8-Ks, 10-Qs, 10-Ks, proxy statements and other filings with the SEC. Prepare and file beneficial ownership reports with the SEC. Manage, organize, file and track all company agreements. Maintain all corporate records and corporate minute books for corporate parent and its subsidiaries. File, track and maintain all corporate and domestic/international subsidiary filings, including corporation status, registered agent, business licenses, and any other filings or licenses required for company’s business. Prepare corporate records including copying, collating, filing and scanning Board materials. General administrative support including editing and formatting, proofreading, copying, collating, scanning, filing and recordkeeping.
Qualification and Experience
Qualifications: Bachelor’s degree required; paralegal certificate preferred. 5+ years of relevant experience primarily in the area of corporate law. Mix of large law firm and in-house experience, as well as experience working in both private and public companies strongly preferred. Exceptional skills in MS Office Suite. Strong problem solving skills, good judgment and keen attention to detail. Excellent interpersonal and written and oral communication skills. Ability to be adaptable and proactive, to take initiative and responsibility, and to work independently. Comfortable managing multiple, conflicting and changing priorities in a fast-paced, time-critical environment and able to follow all such priorities through to completion.
