Paralegal Duties: Provides assistance in a wide variety of legal matters pertaining, including without limitation, contract administration, corporate governance, litigation and intellectual property. Assist in organizing, managing and maintaining corporate matters locally and with subsidiaries, including managing the contracts administration process, reviewing and negotiating non-disclosure agreements, maintaining contract templates, tracking contract compliance and archiving company contract and maintaining database. Act as a liaison between company internal departments regarding operational issues as they pertain to corporate matters. Assist attorneys in corporate governance management of local subsidiaries and licenses, including without limitation maintenance of corporate files and record books, handling corporate subsidiary actions (including drafting board and shareholder resolutions, approval of transactions, capital contributions) and completing annual corporate and license filings and renewals. Facilitate meetings with key individuals as necessary in support of the business initiatives. In concert with the attorneys, develop, review and refresh standard company contract forms and templates. Create and maintain databases for departmental and company use. Assist attorneys in collecting and organizing documents for specific transactions. Assist with special projects. Display behaviours that are reflective of mission, vision and values.
Qualification and Experience
Qualifications: 4 year Bachelor's degree. Paralegal certificate or equivalent work experience. 4+ years of relevant experience in corporate law or in a Legal department, preferably within a global organization. Working knowledge of legal terms, principles and corporate structure. Ability to work within a team environment, securing buy-in and agreement through collaborative effort.
