Paralegal The candidate will provide legal support to the Legal Department on corporate law and corporate governance matters. Will maintain the corporate housekeeping for any company entity. Responsible for ensuring the suitability, legal quality and execution of intercompany agreements. Report to a Senior Legal Counsel. Prepare appropriate corporate documentation for existing company entities such as resolutions and minutes, and arrange board meetings and ensure company’s compliance with the corporate calendar. Prepare appropriate corporate documentation for company entities and/or branch offices to be established such as Articles of Incorporation and resolutions. Prepare appropriate corporate documentation for local legal registrations or permits such as registration of a vessel under a certain flag and/or navigation permits. Maintain efficient know-how files containing information on any laws and regulations applicable to the business activities of company. Ensure the presence and implementation of the appropriate corporate formalities, such as powers of attorney and other authorizations necessary for the legal representation of company. Assist in due diligence investigations on third parties and ensure compliance of such investigations with internal guidelines.
Qualification and Experience
The candidate should have a Bachelor's degree in law, f.e. MER. Paralegal training is considered an advantage. Must have 2+ years of practical working experience in the paralegal profession and solid legal administrative experience (as paralegal in international business environment or in a law firm). Knowledge of Dutch and international corporate law is required. Should have excellent communication skills in English, both spoken and written.
