Corporate Paralegal Duties: Perform core activities related to commercial transactions including real estate, M&A and securities. Assist with corporate governance, litigation, and transaction matters for the Legal Team. Report directly to the Director of Legal Support Services. Organize business entities; check availability of and reserve corporate names; prepare and file certificates of incorporation, merger, dissolution and related documents. Maintain corporate records books, corporate seals, and stock certificates; organize and update corporate records books; prepare and file annual reports for states of incorporation or qualification and obtain necessary signatures; experience preparing SEC and UCC file packages for corporate filings. Summarize, outline, edit, and compare legal documents. Assist with corporate due diligence. Maintain corporate minute books. Order documents from governmental agencies, private document retrieval companies and internal sources. Preparation of documents required by various Secretaries of State and general corporate laws to form, maintain, dissolve or merge entities. Preparation of all required annual reports.
Qualification and Experience
Qualifications: H.S. Degree. Associates Degree or equivalent professional experience. Paralegal certification preferred. Advanced experience working in a law firm or industry setting, managing multiple transactions/projects at any given time, or equivalent in-house/corporate experience. 5+ years of experience with publicly traded entities. Must have experience with corporate entity formation, corporate record maintenance and management of filings related to both private and public companies. Exposure and experience working directly with business Executives in a corporate environment. Experience with electronic signature system. Experience with SAP a plus. Proficient in all Microsoft Office products. Excellent written and oral advocacy skills required. Deadline: January 21, 2015 (EST)
