Paralegal Duties: Reporting to the General Counsel, Vice President of Legal or Senior Corporate Counsel, to accomplish efficient and effective support of the company’s attorneys. Perform all duties assigned by the supervisor. know, practice and ensure that company policies and procedures and state and federal laws are followed at all times. Ensure that no company or customer information is inappropriately divulged to unauthorized parties. Ensure proper follow-through on all directives, bulletins and schedules from the attorneys. Maintain a good flow of communication with the Legal Department employees and within the company. Assist in-house counsel, outside counsel and auction personnel with requests for assistance on legal matters. Prepare or assist in preparation of correspondence to outside counsel or auction personnel on legal matters. Maintain and update legislative reports for states where auctions are located. Assist in-house counsel and auction personnel with discovery and deposition requests on litigation matters, acquisitions and sales of auctions, subsidiaries and real estate including due diligence, title and survey and all post-closing follow-up. Assist with various legal matters including corporate governance and licensing issues. Assist with various auction dealer license renewals as requested and prepare applications for new licenses as requested. Request new bonds and maintain current bonds for various auctions and other entities related to dealer licensing requirements. This includes logging in and submitting invoices for payment. Research qualification, withdrawal permit and licensing issues. Prepare bank resolutions and Secretary Certificates. Research state rules, regulations, codes and statutes to determine initial auction/dealer and business license requirements and prepare and file license applications as necessary. Maintain calendar of license renewal due dates and insure that renewal deadlines are met. Provide information to Tax and Human Resource departments as necessary for initial tax and unemployment filings. Practice and promote teamwork at all times. Set a good personal example of attitude and performance. Assist in-house counsel with preparing policies and training.
Qualification and Experience
Qualifications: Bachelor’s Degree with emphasis in paralegal studies or the equivalent preferred. Must be experienced in the areas of corporate governance and/or litigation; experience with mergers and acquisitions and real estate preferred.
