Senior Corporate Paralegal Duties: Supports the members of the in-house corporate legal staff. Will be responsible for filings with the secretary of state in multiple states; organizing and maintaining records for various business entities, including articles of incorporation, stock ledgers, minutes books, operating agreements and partnership agreements; drafting and filing SEC forms 3, 4 and 5 and other SEC forms as necessary; assisting with preparation of annual proxy statement and organizing the annual shareholders' meeting; maintaining files on stock issuance and stock agreements and issuing instructions to transfer agents; supporting business transactions, including due diligence reviews, mergers and acquisitions; researching through use of legal and other research databases; making sure that all legal files and acquisition materials are filed in legal file room; and performing other legal support functions as assigned.
Qualification and Experience
Qualification Requirements: a BA/BS degree, paralegal certificate or relevant work experience is preferred. The candidate should have 5+ years experience in corporate, securities, intellectual property, preferably in a public corporation environment with working knowledge of SEC rules. Knowledge of maintaining online data rooms. Ability to work well independently with minimal supervision balanced with the ability to work well in a professional team/corporate office environment. Comfortable working with a diverse, international workforce. Self-starter demonstrating thoroughness and attention to detail. Excellent oral and written communications skills. High sensitivity to the confidential nature of the work. Ability to work well under pressure to meet deadlines. High computer literacy including strong working knowledge of Microsoft Word, Access and Excel is required. Familiarity with Microsoft Outlook, Schedule+, and PowerPoint is preferred. Maintain flexibility in hours, including some overtime. Foreign language skills a plus (Spanish, Portuguese, and/or French).
