Senior Paralegal - Advertising and Corporate Governance Duties: Will be responsible for providing an extremely broad range of paraprofessional support, including managing review of and providing advice regarding promotions, advertising (consumer and trade), contract drafting, organization of company's extensive corporate structure, support for the Corporate Secretary’s Office and the company’s Board of Directors and involvement in corporate transactions such as mergers, acquisitions and divestitures. These areas of responsibility involve extensive consultation assistance, risk management advice, organization and interpretation of legal and policy requirements. Will review advertising, sweepstakes, website, social media, PR, promotional, and other consumer or customer facing materials for legal and policy compliance. Develop template contracts and corporate documents, including confidentiality, joint promotion, sponsorship, licensing agreements, board resolutions, transaction documents and securities filings. Provide counseling on advertising, promotion, contract and general corporate business legal issues. Coordinate cross-functional review of advertising, sweepstakes, promotional, website, sales, PR materials among cross-functional team of Nutrition/Regulatory, BU Counsel, Corporate Affairs, Kitchens, Trademark, etc., for US business units. Maintain the good standing of subsidiaries and solve any related issues; and provide support to internal business clients with respect to subsidiary management inquiries, reports and projects. Assist legal department with all other paralegal matters, including due diligence, execution of documents, contract administration, compliance, and management of department records. Support the Board of Directors – assist in the preparation for Board meetings as well as drafting agendas, minutes, minute books, research and other Board-related records for the company and its subsidiaries. Stay abreast of industry and legal issues related to advertising, social media, consumer promotions, corporate governance, and M&A.

Qualification and Experience

Qualification Requirements: A Bachelor’s degree. 4+ years of significant paralegal experience in a law firm or corporate legal environment. Previous experience with promotional law, advertising, consumer marketing, contract matters, and regulatory issues is highly preferred. Must be able to work independently to manage legal-related projects; must have good judgment, strong organizational skills, positive attitude and an interest in learning. Must be able to effectively communicate orally and in writing about complex issues with internal clients and outside counsel.
