In-House Health Care Corporate Paralegal Duties: Work with attorneys to research and prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist attorneys in the research and preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist attorneys in preparing and reviewing corporate legal documents, such as healthcare-related contracts, confidentiality agreements, non-disclosure agreements, corporate resolutions, and shareholder agreements, consents and proxies. Assist attorneys with the completion of stock certificates. Create and maintain corporate minute books. Provide attorneys with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings. Perform public records research. Cross-check and validate information to ensure research results are most current. Check and edit legal forms and documents for accuracy. Prepare, review, and submit credentialing, licensing, business and occupational tax licensing documents and applications. Gather litigation and billing information to prepare draft responses to auditors' requests for information. Prepare audit letters for distribution to auditors and outside counsel. Further development of internal organizational systems and write process documentation. Assist with drafting discovery responses, initial pleadings, memoranda, and other court filings under the direction of attorneys and responding to document and medical record requests. Develop libraries and knowledge base with oversight of Vice President and General Counsel. Assist with policy and procedure deployment and training Prepare correspondence.

Qualification and Experience

Qualifications: 2-year to 4 -year College degree, but will consider exceptional candidate with satisfactory experience in related field. Florida Registered Paralegal a plus. 3-5 years of in-house or Federal and State court litigation paralegal experience. Prior experience in preparing and reviewing corporate legal documents, such as healthcare-related contracts, confidentiality agreements, non-disclosure agreements, shareholder agreements, stock certificates, articles of incorporation, by-laws, and Shareholder/Board of Director meeting minutes. Highly professional, poised, versatile and willing to enthusiastically assist however needed. Self-starter with customer-centered attitude having the ability to organize and prioritize work and meet deadlines. Strong verbal, written, and public speaking skills and interpersonal skills. Completely discreet, ethical, outstanding attention to detail, highly responsive. Knowledge of regulations within the skilled nursing home and assisted living facility industries, including licensure, credentialing, and Medicare and Medicaid renewal requirements. Prior experience preparing Medicare & Medicaid applications and city/state licensing applications. Must be an out-of-box thinker with the ability to pivot. Must pay attention to detail. Must have superior organizational skills. Must be team player. Must have proficiency with Excel, Outlook, MS Word, Westlaw/LexisNexis research, and internet usage. Must have insurance knowledge and discovery experience. Ability to develop and deliver training highly desired. Corporate recordkeeping experience is strongly preferred. Experience with or working knowledge of electronic discovery highly desired.
