Paralegal – Business Group Duties: Assists attorneys in connection with the following tasks: Effectively handles client matters. Responsibilities include assisting attorneys in all stages of corporate transactions and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities.. Structuring, organizing and monitoring projects and transactions seamlessly from inception, As they progress, and to completion, including preparation of checklists, closing agendas and schedules of pertinent deadline dates, gathering materials, reports and information, organizing and maintaining settlement files and completion of closing binders.. Preparation and filing of formation and other entity maintenance documentation, including articles of incorporation, bylaws, certificates of organization, shareholder and operating agreements, partnership agreements, organization minutes, issuance of stock and/or membership certificates, obtain and maintain corporate minute books and stock ledgers, complete and file applications for employer identification numbers and S elections with IRS, and regular corporate/entity records maintenance and housekeeping, including preparation of annual minutes, completion and filing of annual franchise and similar reports and routinely updating client information on diary system and otherwise.. Preparation, review and organizing of legal documentation for various business transactions, including mergers and acquisitions, stock and asset transactions, entity conversions, equity investment, involving preparation of acquisition, stock purchase agreements and conversion agreements and supporting documentation such as bills of sale and assignments, employment and consulting contracts, certificates, entity filings with state and other agencies, private offering documentation and resolutions and authorizations.. Preparation, review and organizing of real estate and related transaction documentation, including agreements of sale, deeds, bills of sale and assignments, leases, tenant subordinations and estoppels, permits, licenses, easements, certificates, and resolutions and other authorization documents, and ordering and reviewing title and lien searches, and review and organizing of related loan documentation and transactions.. Preparation, review and organization of loan documentation, including core documents such as notes, loan agreements, mortgages, assignments, security agreements, UCC filings, tenant subordinations and estoppels, guaranties, and supporting or ancillary documentation such as opinions of counsel, certificates and resolutions and ordering and reviewing title and lien searches, entity governing documents and good standings. Responsible for providing administrative support within the business practice group. Responsibilities include document production, administrative functions, client contact, and other aspects of practice management. Generates, prepares, and organizes documentation and forms requisite to the practice area. Produces well-prepared and accurate documents and interacts well with high profile clients. Also enters time, reviews billing, conducts conflict checks, maintenance of client files and preparation of new matter memos. Schedules appointments and meetings, arranges for conference rooms, and communicates information to all respective parties. Review and analyze legal documents, contracts, title and search reports and prepare comments and revisions to same. Monitor and review government regulations to ensure that entities and clients are aware and keep abreast of new and changing rules and regulations. Conduct legal research to identify laws and court decisions relevant to pending cases including locating cases, depositions, opinions, reports and information related to the matter. Uses all available resources including libraries and computer data systems. Perform Notary Public duties.

Qualification and Experience

Requirements: Paralegal certificate required. Bachelor’s Degree a plus. 4 - 6 years prior related experience required. Law firm, business and real estate transaction experience is preferred, notary a plus. Computer skills including Microsoft Word, Excel, Outlook, iManage, FileSite and other document management. Keyboarding skills on 70 wpm or higher. Must be highly organized, detail oriented with the ability to multi-task. Strong verbal and written communication skills. Must be able to work comfortably and confidently with clients.
