Paralegal Duties: Under minimal supervision of the corporate legal staff, responsible for corporate matters. State and federal regulatory compliance and corporate organization; assist field in obtaining real estate licenses and research of licensing law; insider reporting and other matters associated with the Company’s publicly held status; and administration of employee stock option plan. Interface with various attorneys, directors, officers and district and administrative managers. Responsible for drafting Certificate of Incorporation, Bylaws and organizational resolutions. Set up Minute Book including stock ledger and prepare stock certificates. Draft and file qualification documentation for domestic and foreign qualifications. Draft dissolution documentation as needed. Draft and file qualification documentation for domestic and foreign jurisdictions for NGKF, or assist and follow-up with outside counsel. Draft annual board and shareholder consents electing officers and directors. Draft resolutions regarding other subsidiary business as needed. Track due dates of various state annual reports for parent company and 31 subsidiaries. Prepare and file annual reports. Maintain Secretariat Calendar. Responsible for operation of legal database. Including but not limited to, entering data, running data reports, maintaining updates to the database. Conduct research of applicable state regulatory and licensing requirements relative to brokerage activities. Initiate inquiries directly with Directors of local Departments of Real Estate regarding licensing, regulatory compliance, fee arrangements and qualifications various states. Respond to questions from field personnel and Business Operations Managers regarding state specific licensing matters and corporate structure. Maintain index of corporate and subsidiary licenses and track renewal applications. Development and maintenance of current index of state licensing regulations. Conduct due diligence research in connection with corporate transactions. Coordinate implementation and use of Management Services from contracts and assist in review and negotiation. Field questions from Management Services organization regarding standard operating procedures and use of outside legal counsel. Assist in obtaining third party consent to assignments of contracts, leases, etc. in connection with acquisitions. Track entities and receipt and execution of contracts; prepare quarterly report. Conduct legal research as required by attorneys. Provide other corporate and transactional support. Provide supervisory assistance to litigation paralegal as needed. Assist with risk management related inquiries.

Qualification and Experience

Qualifications: Bachelor’s degree in Business Administration or equivalent experience. Paralegal certificate from ABA-approved program. CEP Level I. 5 years corporate paralegal experience, 2 years in stock administration. Proficiency in Microsoft Office and its applications. Ability to handle confidential Company information. Self-directed, well organized, detail-oriented, highly accurate, excellent communication and customer service skills. May perform other duties as assigned.
