Senior Paralegal Duties: Work with attorneys and other legal staff on a wide range of Corporate projects including management of intercompany agreements, forming and maintaining corporate entities, managing Corporate records. Manage Corporate records processes with minimal supervision, while coordinating with attorneys, paralegals and others outside of the legal department. Draft, clone, review and assemble intercompany agreements. Coordinate and review draft intercompany agreements with Legal, Tax, Transfer Pricing and local counsels. Prepare and maintain exhibit lists to the agreements and create signature trackers. Manage and maintain database or master matrix, and post final documents to a SharePoint site. Research, analyze and draft secretary certificates, resolutions, legal documents and agreements pertinent to corporate transaction and corporate secretarial work. Mentor administrative assistants or other paralegals working on intercompany agreements. Reply to audit requests. Manage preferred signatory lists, and local counsel and tax manager contacts. Manage waivers of conflicts of interest with outside firms. Maintain filing and electronic records in relation to assigned legal entities via the company’s document management system. Assist with general domestic and non-US corporate work.
Qualification and Experience
Qualifications: Four year degree preferred. 5-7 years’ experience as a contracts or corporate paralegal or equivalent. Advanced paralegal knowledge. Advanced communication skills, including written communication. Advanced organization, time management and project management skills. Advanced ability to analyze facts and issues. Advanced knowledge of corporate structures and vendor/supplier relationships. Knowledge of various state and federal legal requirements. Advanced proficiency at drafting various legal documents. Advanced ability to utilize internal databases. Limited familiarity with certain legal requirements outside the U.S. Ability to self-motivate and multitask. Advanced document and project management skills.
