Paralegal - Corporate Responsibilities: Supporting attorneys in business group. Working under the direction of Partners and Associates, will be responsible for providing a broad range of support to attorneys with tasks such as:coordinating deal checklists, working group lists, timelines, signature pages and related workflow both internally and with clients and other counsel. Preparing initial drafts of corporate documents such as corporate resolutions, incorporation/formation documents, operating agreements, contracts. Secretary’s certificates, by-laws, etc.; maintaining minute books, corporate records and stock ledgers; preparing "blue sky" and other state and federal filings; and preparing UCC financing statements. Reviewing and summarizing the results of UCC and other lien searches and otherwise assisting with merger and acquisition, financing, and a limited number of real estate transactions; creating signature packets and coordinating execution; preparing and circulating closing documents to all parties for review and comments; preparing closing binders; order and maintain good standing for legal entities in various jurisdictions; regularly update corporate databases and internal reference documents; responding timely to requests for information; and managing corporate services vendors including reconciling and approving invoices.

Qualification and Experience

Qualification Requirements: A Bachelor's degree (or equivalent) with 3+ years of recent corporate paralegal experience in a mid to large size law firm. Paralegal certificate is a plus. The paralegal must possess a client focused approach to work, be able to handle multiple assignments efficiently, work well under pressure, and have the flexibility to assist teams in meeting client demands on accelerated schedules. The ideal candidate must have a strong work ethic, be a self-starter, and operate with strong initiative to meet billable requirements. Excellent proofreading and technical skills, keen attention to detail. Professional oral and written communication skills with excellent email and telephone responsiveness. Ability and desire to learn new areas of the law and take on new challenges to continue professional development. Demonstrated good judgment in making decisions and creativity in solving problems. Familiarity with corporate service vendors and government agencies to obtain certified documents. Familiarity with federal, state and local rules/filing procedures strongly preferred. Flexibility with work schedule is required to accommodate overtime, including evenings, weekends and holidays, when necessary.
