Senior Paralegal The candidate will have three primary areas of responsibility - Administer, maintain and track data for 70+ world-wide subsidiaries of company. Assist in reviewing, auditing, approving and processing legal invoices from vendors providing legal and litigation-related services to company. Assist in responding to discovery request and information gathering for various litigations matters in which company is involved. This employee will also perform such other tasks/undertake other projects as may be assigned from time-to-time by the General Counsel. Manage consolidation of redundant legal entities (especially post-acquisitions). Review and process board resolutions for non-U.S. Subsidiaries. Draft annual and routine board resolutions for non-U.S. Subsidiaries. Work with local advisors and counsel to manage share registries. Appoint/updating officers and directors of subsidiaries. Manage secretary of state fillings. Maintain and update data sheet for all subsidiaries of company. Reviewing and auditing legal bills/tracking legal budgets: Review and audit invoices from law firms and others services providers; negotiate discounts/revisions to invoices as appropriate. Approve, process and track payment of legal invoices; reconcile to budget. Work with corporate finance to make accruals for legal expenses. Work with outside counsel to understand/interpret incoming discovery requests and design plan to collect, assemble and produce responsive documents and records. Work with internal resources to undertake document and record collection and production. Work with outside vendors to deliver electronic records via agreed method and format. Must be a graduate of an accredited law school and have passed, at a minimum, a state bar exam. Alternatively, the candidate may have experience as a corporate or litigation paralegal at a major law firm or in-house at a corporation. Should have 3+ years prior experience in law firm or in-house legal department. Must havestrong planning, organizational and coordinating skills.
