ProfileSenior Corporate Paralegal The candidate will be Establishing, and maintaining a worldwide legal entity management system. Preparation of public company filings. Assist the legal and finance group on corporate transactions and governance documentation, including liaising with local counsel. Assist attorneys with preparation of materials, logistics and minute book recordkeeping for all Board of Directors and Committee meetings. Prepare statutory filings and coordinate with local counsel and finance group on various financial and legal reporting matters. Maintaining a compliance database for third parties. Communicate and process data with various other external and internal sources (e.g. transfer agents, Human Resource, Payroll and Tax). Assist with other or equity project(s) or analysis as assigned. Work on other special projects, as directed by attorneys.
Qualification and Experience
The candidate should have Bachelors degree in Accounting/Business and/or Paralegal training. CEP certification is required. At least 10 years aggregate experience working as a corporate paralegal preferably at both global public company and law firm. Proficiency in equity administration, legal entity management and related software (Equity Edge, Entity Management Systems). Experience with Board meetings, communicating with directors, preparing board materials and working with board portals. Experience in a global company with numerous international legal entities. Experience working in the compliance function.
