Paralegal/Senior Contract Administrator Duties: Play a key role in ensuring the timely generation, processing, finalization and administration of contracts and other corporate legal and intellectual property related documentation to meet business needs. Report to the General Counsel and Chief Compliance Officer. Managing contract workflow, including verifying that internal requirements are met, monitoring status, securing signatures, etc. Will be the primary contact for internal clients and external parties on most routine contract matters. Will work closely with all functional groups across the company to ensure legal needs are met. Drafting, reviewing and negotiating standard contracts using Cytokinetics’ templates (e.g., non-disclosure agreements, consulting agreements, clinical trial agreements, services agreements, work orders under master services agreements, etc.). Maintaining standard contract templates and pre-approved alternative language. Maintaining electronic files of in-process contracts. Filing and distributing fully executed contracts. Administering a contract database, including data entry, and providing reports on request. Maintaining other corporate and IP (patent, trademark) legal files. Obtaining patent assignments and related documentation. Preparing correspondence and diligence materials. Assisting the General Counsel and Chief Compliance Officer in preparation for corporate meetings. Performing administrative duties required to complete tasks and responsibilities within the scope of the position.

Qualification and Experience

Qualifications: A Bachelor’s degree and 4+ years of experience in preparing, negotiating and administering contracts within a corporate in-house legal department. Paralegal certification and experience with a biotechnology/pharmaceutical company strongly preferred. Excellent oral and written communication skills, organizational, analytical and interpersonal skills. Careful attention to detail and accuracy. Demonstrated ability to thrive in a dynamic environment and appropriately prioritize conflicting demands. Demonstrated ability to work independently and collaboratively within the legal team to ensure timely and accurate provision of legal services across the company. Excellent abilities with relevant software applications (e.g., Microsoft Word, Outlook, Excel and PowerPoint and DocuSign). Good understanding of and familiarity with general contract terms and conditions. Must be able to uphold the highest standards of discretion and confidentiality, and exercise good judgement. Notary Public commission helpful.
