Paralegal The candidate will support attorneys in Business Group. Experience providing paralegal support for emerging company clients as well as public company clients for both entity maintenance and transactional matters is preferred. Working under the direction of Partners and Associates, this position will be responsible for providing a broad range of support to our attorneys and clients. Some typical responsibilities are: Maintaining minute books, ownership records and other entity records in both paper and electronic form; Maintaining capitalization database records to track an entity’s capitalization; Assisting clients with administration of equity incentive plans; Preparing initial drafts of documents such as entity formation and organizational documents, Board, shareholder and committee resolutions, agreements and officer certificates; Assisting with merger and acquisition and financing transactions including coordinating transaction checklists, timelines, document drafting, managing signature pages, good standing certificates, stock certificate issuances, closing binders and related workflow both internally and with clients and other counsel preparing "blue sky" and other state and federal filings; Managing state business licensing and annual renewals thereof; Preparing beneficial ownership calculations; Preparing drafts of Section 16 reports and handling filing of same on EDGAR. Paralegal certificate is a plus. Should have Bachelor's degree (or equivalent) along with 5 years recent corporate paralegal experience in a mid to large size law firm. Must have excellent proofreading and technical skills, keen attention to detail. Should have familiarity with corporate service vendors and government agencies to obtain certified documents. Familiarity with federal, state and local rules/filing procedures strongly preferred.
